Lance Miller is a turnaround executive with more than 25 years corporate finance and workout experience. He has a full range of expertise, including a sophisticated and comprehensive skill set in financial and operations management. Mr. Miller brings a wide network of contacts, as well as transactional experience to MorrisAnderson.
Mr. Miller provides practical solutions to companies in trouble by facilitating positive interaction among the board, management, lenders, investors, and employees. As a team leader in a multitude of assignments, he has represented both creditors and debtors in out of court and bankruptcy assignments. He understands the importance of synthesizing complex information quickly in order to create action-oriented recommendations. His transaction experience includes complex refinancing, the sale of companies or corporate divisions, and working with investment groups on distressed opportunities.
Mr. Miller has recent experience in publishing, waste-management, banking, on-line financial services, intermodal trucking, logistics, contract manufacturing, steel, watches, mortgage lending and agriculture.
Selected representation has included:
- A diverse bank group in an out-of-court restructuring of a watch company. Worked with management and their advisors on a comprehensive restructuring plan and negotiated key elements of several forbearance extensions.
- A waste management company in successful refinancing efforts of senior and subordinated debt significantly reducing interest expense and improving capital structure.
- A trucking company in reviewing operations, improving liquidity and renegotiating bank credit agreements for senior and subordinated debt.
- The DIP lender to Parmalat USA providing an independent review of the business, financial advisory in negotiating a settlement with unsecured creditors and working with management and their advisors on a viable plan of reorganization to emerge from Chapter 11.
- An agricultural products company having severe liquidity issues in divestiture efforts of one of their divisions.
- A bankrupt manufacturer of hair care products. Became Chief Restructuring Officer and successfully sold company through a 363 sale process.
- A lending group in the restructuring of a private equity owned steel transport and logistics company, including reviewing proposed business plan, liquidity projections, conducting a liquidation and bankruptcy analysis, and recommending and monitoring divestiture of unprofitable warehousing operation.
- A bondholder group in successful recapitalization negotiations with a liquidity constrained mortgage company.
- An investment group in the purchase of senior debt of a troubled company through a non-auction process.
Prior to joining MorrisAnderson, Lance Miller served as a Managing Director of KLB Partners, LLC, a merchant bank and advisory firm to distressed companies, as a Director of Glass & Associates, Inc., a turnaround management firm for distressed middle market companies and as a banker.
Mr. Miller is currently a candidate for Certified Turnaround Professional (CTP), holds an MBA in finance from New York University and a BS in industrial engineering from Cornell University.
He was born in New York City and has lived in the New York area his entire life. Mr. Miller is married and has two sons. |
